Terms and Conditions

Effective Date: October 27, 2026

This End User License Agreement (“Agreement”) governs use of the private Redstick Watch Group LLC (“RWG”) business application and its QuickBooks Online integration.

By using the application, an authorized user agrees to this Agreement.

1. Authorized Use

The application is intended for the internal business operations of Redstick Watch Group LLC and its authorized users.

RWG grants authorized users a limited, revocable, non-transferable right to use the application for legitimate RWG business purposes.

2. QuickBooks Integration

The application may connect to QuickBooks Online through Intuit’s authorized APIs.

The integration may read or create accounting information necessary to support RWG operations, including company information, accounts, customers, sales records, inventory-related accounting entries, expenses, and journal entries.

Users must have proper authority to connect the applicable QuickBooks company.

3. User Responsibilities

Authorized users are responsible for:

• Maintaining the confidentiality of their account credentials
• Using the application only for authorized RWG business purposes
• Reviewing financial and accounting information for accuracy
• Confirming tax treatment when required
• Protecting customer and business information
• Promptly reporting unauthorized access or suspected security issues

The application is an operational and accounting-support tool and does not replace professional accounting, tax, or legal advice.

4. Accounting Review

RWG remains responsible for reviewing the accuracy of its accounting records.

Automated or assisted entries should be reviewed when appropriate, particularly transactions involving taxes, unusual accounting treatment, corrections, or material financial activity.

5. Ownership

The RWG application, workflows, branding, business processes, and related materials are owned by Redstick Watch Group LLC or used with permission.

This Agreement does not transfer ownership of the application or any associated intellectual property.

6. Third-Party Services

The application may rely on third-party services including QuickBooks Online, Intuit APIs, Google Workspace, and Google Apps Script.

Use of those services may also be subject to their own applicable terms and policies.

RWG is not responsible for outages, changes, or failures caused solely by third-party services outside RWG’s control.

7. Availability and Disclaimer

The application is provided for RWG’s internal business use.

While reasonable efforts are made to maintain accurate and reliable operation, RWG does not guarantee that the application will always be uninterrupted or error-free.

Authorized users should review important financial transactions before relying on them.

8. Termination

RWG may suspend or terminate a user’s access at any time when authorization is no longer appropriate.

A user must stop using the application when access is revoked.

QuickBooks authorization may also be disconnected through the application or through Intuit.

9. Privacy

Use of information through the application is governed by the Redstick Watch Group Privacy Policy posted on the RWG website.

10. Governing Law

This Agreement is governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

11. Changes

RWG may update this Agreement as the application or business requirements change. Continued use after an update constitutes acceptance of the updated Agreement.
